Terms of Service

1. Acceptance of Terms

By accessing or using ARCXS Protocol ("ARCXS," "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

These Terms constitute a legally binding agreement between you and Timothy Idol, doing business as ARCXS Protocol ("we," "us," or "our"), located in Ohio, United States.

We may update these Terms from time to time. Material changes will be communicated via email or a notice on the website. Continued use of the Service after changes constitutes acceptance of the updated Terms.

2. Description of Service

ARCXS Protocol provides universal infrastructure for AI agents, including:

  • Agent Registry: A universal registry for discovering and registering AI agents.
  • Protocol Translation: Bridging communication between AI agent protocols (MCP, A2A, x402, OpenClaw, and others).
  • Message Queue: Store-and-forward reliable message delivery between agents.
  • Payment Routing: Protocol-agnostic payment routing with transparent fee structure.
  • Developer Tools: API access, documentation, and related developer resources.

3. Accounts and Registration

3.1 Account Creation

To access paid features or manage registered agents, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

3.2 Account Security

You are responsible for safeguarding your password and API keys. You agree to notify us immediately at info@arcxs.net of any unauthorized use of your account. We are not liable for losses resulting from unauthorized account access due to your failure to secure your credentials.

3.3 One Account Per Entity

Each individual or organization may maintain one account. Creating duplicate accounts to circumvent limits, bans, or pricing tiers is prohibited.

4. Pricing and Billing

Discovery is free and unlimited. We will never charge for lookups, searches, or protocol translation queries. Our fee structure is transparent and will not change without advance notice.

4.1 Payment Processing

Payments are processed by Stripe. By making a payment, you agree to Stripe's Terms of Service and Privacy Policy. We do not store your full payment card details.

4.2 Subscription Renewals

Registered subscriptions renew automatically at the end of each billing period (annual or monthly). You may cancel at any time through your account dashboard. Cancellation takes effect at the end of the current billing period — no partial refunds are issued for unused time.

4.3 Refunds

We offer a 14-day refund for new Registered subscribers if you are unsatisfied with the Service. Contact info@arcxs.net within 14 days of your initial payment. Refunds are not available after 14 days or for renewals.

4.4 Price Changes

We reserve the right to change pricing with 60 days advance notice to active subscribers. Free tier features will remain free as described in Section 4.

5. Acceptable Use

You agree to use ARCXS only for lawful purposes. You may not:

  • Violate any applicable law or regulation
  • Register agents that impersonate other agents, products, or entities
  • Use the Service to transmit spam, malware, or harmful content
  • Attempt to circumvent rate limits, authentication, or access controls
  • Use the Service to facilitate denial-of-service attacks
  • Scrape or harvest agent registry data in bulk without prior written consent
  • Use the Service in ways that could harm, disable, or impair ARCXS infrastructure
  • Register agent names that are trademarked or owned by third parties without authorization
  • Resell access to the ARCXS API without prior written agreement

Violation of these terms may result in immediate account suspension or termination without refund.

6. Agent Registration and Names

6.1 Agent Name Ownership

Registration of an agent name does not confer trademark rights. ARCXS is not responsible for resolving disputes between parties claiming rights to the same agent name. We follow a first-registered policy for Registered agents.

6.2 Reserved Names

ARCXS reserves the right to withhold or reclaim agent names that are offensive, confusingly similar to ARCXS's own services, or subject to legitimate third-party trademark claims.

6.3 Ephemeral Registration Expiry

Ephemeral registrations expire automatically at the end of their TTL. Expired names become available for re-registration by any party. ARCXS is not responsible for any consequences of name expiry.

7. API Access and Rate Limits

API access is subject to rate limits to ensure fair use and system stability. Current rate limits are documented at arcxs.net/docs. We reserve the right to adjust rate limits with reasonable notice.

You are responsible for all activity that occurs under your API keys. Treat API keys as passwords — do not share them publicly or embed them in client-side code.

8. Intellectual Property

8.1 ARCXS Ownership

ARCXS Protocol, including its software, infrastructure, documentation, design, and trademarks, is owned by Timothy Idol (ARCXS Protocol) and is protected by applicable intellectual property laws. These Terms do not grant you any rights to ARCXS's intellectual property beyond the limited license to use the Service.

8.2 Your Content

You retain ownership of agent names, descriptions, and data you register with ARCXS. By registering an agent, you grant ARCXS a limited, non-exclusive license to store, display, and serve your agent's registration data to the public registry as part of the Service.

8.3 Open Source

Portions of ARCXS may be made available as open source under applicable open source licenses. Those licenses govern the use of those specific components. See our GitHub repository for details.

9. Disclaimers and Limitation of Liability

9.1 Service Provided "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ARCXS PROTOCOL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO ARCXS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless ARCXS Protocol and Timothy Idol from any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

11. Termination

We may suspend or terminate your account at any time for violation of these Terms, with or without notice. You may terminate your account at any time through your account dashboard or by contacting us at info@arcxs.net.

Upon termination, your right to use the Service ceases immediately. Sections 8 (Intellectual Property), 9 (Disclaimers), 10 (Indemnification), and 13 (Governing Law) survive termination.

12. Uptime and Service Levels

We target 99.9% uptime for the ARCXS API. We do not provide a financially-backed SLA at this time. Planned maintenance will be announced with reasonable advance notice. Current status is available at arcxs.net/health.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Ohio, United States, without regard to conflict of law principles.

Any dispute arising from these Terms or your use of the Service shall first be addressed through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in Ohio under the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for intellectual property violations.

Nothing in these Terms affects your rights as a consumer under applicable law in your country of residence.

14. Miscellaneous

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and ARCXS regarding the Service.
  • Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
  • Waiver: Failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future.
  • Assignment: You may not assign these Terms without our prior written consent. We may assign our rights in connection with a merger, acquisition, or sale of assets.
  • No Agency: These Terms do not create a partnership, joint venture, agency, or employment relationship between you and ARCXS.
